These Supplier Terms ("Supplier Terms") apply to you if you register as a Supplier/Provider ("Supplier", "you") on the ProsAI platform ("ProsAI", "we", "us"). By registering or using the Supplier features, you agree to these Supplier Terms. If you do not agree, do not register as a Supplier.

1. Our role

ProsAI operates a platform that connects customers requesting services ("Customers") with independent Suppliers. ProsAI is not an employer, agent, or representative of Suppliers. You provide services directly to Customers as an independent business.

2. Supplier account and onboarding

You must provide accurate and up-to-date information when creating your Supplier profile, including service categories and service area details (e.g., postcode district/outward code and radius).

We may request additional information to verify identity or prevent fraud.

3. Supplier status : "Active / Ready"

A Supplier is considered Active / Ready only when all of the following are completed :

• Required Supplier profile details are completed (including service category and service area).
• You have accepted these Supplier Terms and any required policies.
• A valid payment card is added and saved on file via our payment provider.
• Credit cards only : We may restrict accepted cards to credit cards only (no debit/prepaid) based on the payment provider's standard card funding type detection.

Once you are Active / Ready, you may receive leads at any time, including daily, depending on availability and routing rules.

4. Leads (routing and availability)

If you are Active / Ready, ProsAI may send you leads based on factors such as :

• your service category selection
• your service area (postcode/radius)
• lead distribution rules (e.g., exclusive/shared)
• platform availability

ProsAI does not guarantee any minimum number of leads, response rates, conversion rates, or revenue.

5. Lead types : exclusive and shared

ProsAI may offer different lead distribution types, including :

• Exclusive leads (a lead is sent to one Supplier)
• Shared leads (a lead may be sent to multiple Suppliers)

The exact distribution rules (including the maximum number of Suppliers per shared lead) may be configured by ProsAI and may vary by market or category.

6. Supplier obligations and conduct

You agree to :

• Respond to Customers professionally and promptly
• Provide accurate information about pricing, availability, and service scope
• Comply with all applicable laws and regulations
• Maintain appropriate licences, permits, and insurance for your services (where required)
• Treat Customers fairly and respectfully

You must not :

• misuse the platform or attempt to circumvent platform rules
• harass or threaten Customers
• submit false information
• attempt unauthorised access, scraping, or reverse engineering
• introduce malware or harmful code

7. Customer relationship and disputes

Any contract for services is between you and the Customer. You are solely responsible for :

• the services you provide
• pricing and payment terms agreed with the Customer
• cancellations, refunds, complaints, warranties, and disputes

ProsAI is not responsible for services performed by Suppliers and is not a party to Supplier–Customer agreements.

8. Fees, payments and card on file

ProsAI may charge Suppliers fees for leads and/or platform usage, depending on the business model and applicable market rules.

All payment processing is handled by third-party payment providers. ProsAI does not store full card numbers.

9. Suspension and termination

ProsAI may suspend or terminate your Supplier account or restrict lead delivery if :

• you breach these Supplier Terms
• your information appears inaccurate or misleading
• we suspect fraud or misuse
• required payment method is missing/invalid
• it is necessary for platform security, compliance, or user protection

10. Intellectual property

ProsAI and its licensors own all rights in the platform and Services. You may not copy, modify, or distribute platform content or code except as permitted by law.

You grant ProsAI a non-exclusive, worldwide, royalty-free licence to use the content you submit (e.g., profile text, logos) solely for operating and marketing the platform.

11. Privacy

ProsAI will process personal data in accordance with its Privacy Notice.

Suppliers must also comply with applicable data protection laws in relation to Customer data they receive (e.g., use Customer data only to respond to the lead/service request, and keep it secure).

12. Disclaimer

To the maximum extent permitted by law :

• leads are provided "as is" and "as available"
• ProsAI does not guarantee lead volume, conversion, or revenue
• ProsAI is not responsible for the outcome of Supplier–Customer interactions

13. Limitation of liability

To the maximum extent permitted by law, ProsAI will not be liable for indirect or consequential losses, loss of revenue, or disputes between Suppliers and Customers.

Nothing limits liability where it cannot be limited under law (e.g., fraud).

14. Governing law and jurisdiction

These Supplier Terms are governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction.
